Terms of Service

These Terms of Service ("Terms") establish the legal agreement between you and UX Web Solutions LTD (Company number 14506296), a registered company operating in England and Wales. By accessing, browsing, or using our website and services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must discontinue use of our services immediately.

1. Services We Provide

UX Web Solutions provides a comprehensive range of professional digital services, including:

• Website design and development (business sites, e-commerce, landing pages)
• Web application development (SaaS platforms, dashboards, custom tools)
• Mobile app development (PWAs, hybrid applications, responsive designs)
• SEO services and performance optimization
• Ongoing care plans and maintenance services
• Free consultation services and project assessments
• AI-accelerated development services using cutting-edge tools

Our services combine artificial intelligence-assisted workflows with professional human review to deliver production-ready software efficiently. All deliverables are thoroughly tested and reviewed by our team before deployment.

2. AI-Assisted Development & Disclaimer

Our development services leverage AI-powered tools to accelerate project delivery and improve efficiency. However, we explicitly acknowledge that:

• All AI-generated code is reviewed, tested, and refined by professional developers
• No automated system is error-free; we implement comprehensive testing protocols
• We do not guarantee uninterrupted or completely error-free operation of any system
• While we strive for excellence, minor bugs or issues may emerge post-deployment
• We commit to addressing critical issues within agreed service levels

By engaging our services, you acknowledge understanding of AI-assisted development and accept these inherent limitations.

3. Intellectual Property Rights

Upon full payment and project completion, intellectual property rights for custom-developed work transfer to the client, except where third-party libraries, frameworks, or pre-built components are used. In those cases:

• Third-party components remain subject to their respective open-source or commercial licenses
• UX Web Solutions retains rights to general methodologies, processes, and architectural patterns developed
• Clients receive a perpetual license to use the deliverables for their intended business purposes
• UX Web Solutions retains the right to showcase completed projects in our portfolio (unless confidentiality is agreed)

UX Web Solutions owns all intellectual property related to our tools, methodologies, templates, and documentation unless explicitly transferred in writing.

4. Free Consultations

We offer complimentary 15-minute consultation calls to assess your project requirements:

• Consultations are subject to availability and scheduling confirmation
• Missed consultations without 24-hour notice may not be rescheduled without charge
• Consultations are intended for initial project scoping and service assessment only
• Detailed technical advice beyond 15 minutes may incur a consultation fee

Free consultations do not constitute a binding agreement; a formal contract is required before work commences.

5. Payments & Pricing

Payment terms are outlined in each project agreement:

• All prices are quoted in GBP (£) unless otherwise stated
• Payment processing is handled securely via Stripe, PayPal, or bank transfer
• Invoices are typically issued upon project commencement and milestone completion
• Payment terms are typically 50% upfront, 50% on delivery (terms vary by project)
• Late payments may incur interest at the statutory rate of 5% + Bank of England base rate
• Refunds are not provided once work has commenced unless explicitly agreed in writing

Pricing does not include third-party hosting, domain registration, or SSL certificate costs, which are the client's responsibility.

6. Monthly Care Plans

Ongoing care plans are billed monthly in advance:

• Care plans include maintenance, updates, and support as per the selected SLA tier
• Service levels depend on the chosen plan (Basic, Growth, or Pro)
• Monthly billing is automatic via Stripe unless otherwise arranged
• Cancellation requires 30 days' written notice
• Service interruptions due to non-payment will be applied after 7 days of overdue payment

7. Client Responsibilities

As our client, you are responsible for:

• Providing accurate, complete, and timely project information and content
• Promptly reviewing deliverables and providing feedback within agreed timeframes
• Ensuring all content (text, images, media) you provide does not infringe third-party rights
• Ensuring your business practices and website content comply with all applicable laws
• Maintaining secure backups of your own data and content
• Keeping login credentials and hosting information secure
• Notifying us immediately of security incidents or unauthorized access

8. Limitation of Liability

To the maximum extent permitted by law:

• UX Web Solutions shall not be liable for indirect, incidental, or consequential damages
• This includes loss of revenue, profit, data, business opportunity, or reputation
• Our total liability for any claim shall not exceed the amount paid for the service in question
• We are not liable for third-party service failures (hosting providers, payment processors, etc.)
• We are not liable for security breaches beyond our reasonable control

These limitations do not apply to: (a) death or personal injury, (b) fraud, (c) gross negligence, or (d) breaches of consumer protection laws.

9. Termination & Suspension

We reserve the right to suspend or terminate services if:

• You breach any material term of this agreement
• You engage in illegal activity or violate intellectual property rights
• You fail to pay invoices within 30 days of the due date
• Your content violates our content policy or applicable law
• We identify a security risk or threat

Upon termination, you remain responsible for payment of work completed to that date. We will provide reasonable notice except in cases of urgent security or legal issues.

10. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales, United Kingdom. Both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales for any disputes. The Consumer Rights Act 2015 and other mandatory consumer protection laws may apply to your agreement with us.

11. Modifications to Terms

We may update these Terms periodically. Continued use of our services constitutes acceptance of the updated Terms. For significant changes, we will provide 30 days' notice. Material changes to existing contracts will be communicated separately.
